LLC Keeper helps multi-LLC owners track compliance deadlines and obtain assistance filing required documents with state authorities. We are not a law firm and do not provide legal or tax advice. These terms describe how we operate, what you can expect from us, and what we expect from you. By using LLC Keeper, you agree to these terms.
LLC Keeper tracks your compliance deadlines and gets you to the right state filing portal, but you file directly with the state yourself. We are not your attorney, we do not hold a power of attorney, and we do not submit filings on your behalf today. You are responsible for the accuracy of any LLC information you provide, and for actually completing and submitting each filing before its deadline.
If a deadline passes without a filing having been submitted, responsibility for any resulting late fees, penalties, or administrative dissolution belongs to you, not LLC Keeper. Our reminders and portal handoff exist to prevent this, but if a deadline is missed despite them, that outcome is your responsibility.

Subscription fees are billed through Stripe, our payment processor, on a recurring annual basis. Government filing fees are billed separately as pass-through costs at the state's exact published rate, with no markup, in addition to your subscription fee.
You may cancel your subscription at any time through the Stripe Customer Portal, or by contacting us. Cancellation stops future billing and does not refund fees already paid.
You must be authorized to manage the compliance matters of any LLC you add to your account, typically as an owner, member, manager, or someone otherwise designated to handle its filings. We rely on your representation that you have this authority for every LLC on your account.
You are responsible for the accuracy of your contact information and any LLC information you enter or confirm. Reminders, file numbers, and portal links are only as accurate as the information you've provided.

LLC Keeper, including its software, design, and branding, is owned by Alan Mond, an individual doing business as LLC Keeper. Using the service gives you a limited right to use it as described in these terms; it doesn't transfer ownership of the service to you.
You own the business data you input, such as your LLC names and details. Using the service doesn't transfer ownership of that data to us, but you grant us the right to process and store it as needed to provide the service, as described in our Privacy Policy.
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including that it will be uninterrupted, error-free, or meet your specific needs.
We do not provide legal or tax advice. Nothing in LLC Keeper should be relied on as such. Consult your own attorney or accountant for questions specific to your situation.
To the maximum extent permitted by law, LLC Keeper is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the service. Our total liability to you is limited to the total fees you paid us in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to liability for gross negligence, willful misconduct, or violations of law that cannot be legally limited.
You may cancel your account at any time. We may suspend or terminate your account for violating these terms, non-payment, or fraud or abuse. On termination, outstanding fees remain due.
We may update these terms over time, posting the revised version with a new "Last updated" date and notifying you by email of material changes. Continued use after changes take effect means you accept them.
These terms are governed by California law. Any dispute arising out of or relating to these Terms or the service will be resolved by binding individual arbitration administered under the American Arbitration Association's Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. You and LLC Keeper each waive the right to a jury trial and to participate in a class action or class-wide arbitration. This waiver does not apply to claims for public injunctive relief, which either party may bring in court notwithstanding the arbitration agreement above. Arbitration will be seated in California.
