Colorado LLC Filing Deadlines: Periodic Report, Fees & Due Dates (2026)

Last checked October 2026 against the official sources linked below. General information, not legal advice.

Colorado doesn't call it an annual report. The official name is the Periodic Report: one $25 filing a year, due by the last day of the second month after your assigned report month.

Every Colorado LLC must file a Periodic Report with the Secretary of State each year. The SOS assigns your LLC a Periodic Report month, shown on your entity's Summary page. You can file any time from two months before through two months after with no penalty; for example, a January report month means you can file between November 1 and March 31. The fee is $25, filed online. Miss the deadline and your status becomes Noncompliant plus a $50 late fee; sixty days of Noncompliant becomes Delinquent.

What happens if you miss the Colorado deadline

Miss your deadline and your status becomes Noncompliant, with a $50 late fee. After 60 days of Noncompliant it becomes Delinquent, whether or not you ever opened the notice. Colorado sends courtesy email reminders, but the SOS is explicit: you are responsible for filing on time whether you receive an email or not.

Getting back to Good Standing costs a $100 Statement Curing Delinquency. Stay delinquent 400 days and your entity name gets a 'delinquent' marker while your original name becomes available for someone else to take. Stay delinquent five years and curing also requires an affidavit of authority plus government-issued photo ID.

Your Periodic Report month is printed on your entity's Summary page. It is not officially tied to your formation date, so don't assume you know it. Look it up once, write it down, and file inside the five-month penalty-free window around it every year.

How to file the Colorado Periodic Report

  1. On the Colorado Secretary of State's website, select Business, Trademarks, Trade Names, then 'Search business database' on the Business Organizations page.
  2. Enter your 11-digit ID number or business name and click Search, then select your entity's ID number from the results to open its Summary page.
  3. On the Summary page, scroll down and select 'File a form', then 'File a Periodic Report' on the Documents Available for Filing page.

Frequently asked questions

When is the Colorado LLC Periodic Report due?

By the last day of the second month after your assigned Periodic Report month; for example, a January report month means a March 31 deadline. Your assigned month is shown on your entity's Summary page under 'Periodic report month'. You can file any time from two months before through two months after your report month with no penalty.

How much does the Colorado LLC Periodic Report cost?

$25, filed online, the same fee for domestic and foreign LLCs. The late filing penalty is $50, and a Statement Curing Delinquency costs $100 (Colorado SOS fee schedule, revised July 1, 2024).

What happens if I don't file my Colorado Periodic Report?

Your status becomes Noncompliant and the $50 late fee is assessed. Sixty days of Noncompliant becomes Delinquent. A $100 Statement Curing Delinquency returns the entity to Good Standing.

Is the Periodic Report month the same as my formation month?

Colorado does not officially say that. Your assigned Periodic Report month is displayed on your entity's SOS Summary page: check it there rather than assuming it matches the month you formed the LLC.

My Colorado LLC is Delinquent. How do I fix it?

File a Statement Curing Delinquency ($100) to return to Good Standing. Two warnings: after 400 days delinquent your entity name gets a 'delinquent' marker and your original name becomes available for another entity to use; after five years delinquent you must also submit an affidavit of authority and government-issued photo ID.

Does Colorado send a reminder before the Periodic Report is due?

As a courtesy, the SOS sends an email notice the month before your Periodic Report month if you signed up for email notification. But you are responsible for tracking filing dates and filing on time whether you receive an email or not.
