Connecticut LLC Filing Deadlines: Annual Report, Fees & Due Dates (2026)
Last checked October 2026 against the official sources linked below. General information, not legal advice.
Every Connecticut LLC must file an Annual Report with the Secretary of the State each year between January 1 and March 31. The fee is $80, filed online through a Business.CT.gov account; there is no paper option. Your first report is due in the calendar year after your LLC was formed: an LLC formed any time in 2026 files its first report between January 1 and March 31, 2027. Connecticut's official fee schedule lists no late fee, but an LLC that stays in default can be dissolved by forfeiture.
Quick reference
| Filing | Annual Report |
|---|---|
| Due | Every year, January 1 - March 31 (March 31 is the last day to file on time) |
| Fee | $80 |
| Where to file | Business.CT.gov |
| Late penalty | No late fee on the official fee schedule; persistent non-filing can lead to forfeiture (administrative dissolution) |
| If you miss it | Connecticut lists no late fee for a missed Annual Report, but the consequence is worse than a fine: an LLC that remains in default risks forfeiture: the Secretary of the State can administratively dissolve it. A forfeited LLC can be reinstated by filing the past-due reports. |
| First filing | Your first Annual Report is due in the calendar year after your LLC was approved, regardless of the approval date. An LLC approved December 31, 2026 and one approved January 2, 2026 both file first between January 1 and March 31, 2027 |

What happens if you miss the Connecticut deadline
Connecticut lists no late fee. An LLC in default can be administratively dissolved. With no fine to nudge you, a missed March 31 deadline just sits there while your LLC slides toward forfeiture. Dissolution does not just end the business on paper: contracts, bank accounts, and liability protection are all affected at once.
The state does send a reminder email about a month before the filing is due, but only if your LLC's email address on file is current, and the reminder is a courtesy, not a guarantee. Move offices, change your email, or let the registered agent lapse and the notice goes nowhere while the deadline still applies. The SOS is explicit: you owe the filing whether or not you got the email.
Connecticut's registry is public and refreshed nightly on data.ct.gov, including each entity's own annual_report_due_date, and delinquency shows up in the data too: a forfeited LLC carries a 'Forfeited' status with the recorded reason 'Failure to file Annual Report'. If you ever wonder whether you are current, the state's own data will tell you, no login required.

Frequently asked questions
When is the Connecticut LLC Annual Report due?
Every year between January 1 and March 31, per the Secretary of the State's official forms-and-fees page. March 31 is the last day to file on time. The filing window is the same for every LLC; it is not tied to your formation anniversary.
How much does the Connecticut LLC Annual Report cost?
$80, filed online through a Business.CT.gov account. There is no paper filing option for the Annual Report. Connecticut's former $250 Business Entity Tax was repealed, so the $80 report is the main yearly state cost.
When is my first Connecticut Annual Report due?
In the calendar year after your LLC was approved, regardless of the approval date. An LLC approved April 10, 2026 files its first report between January 1 and March 31, 2027, and so does one approved December 31, 2026.
Is there a late fee for a missed Connecticut Annual Report?
Connecticut's official fee schedule lists no late fee for the Annual Report. The risk is forfeiture instead: an LLC that stays in default can be administratively dissolved by the Secretary of the State. A forfeited LLC can apply for reinstatement by filing past-due reports.
Can I file the Connecticut Annual Report by mail?
No. The Annual Report can only be filed online through a Business.CT.gov account, per the Secretary of the State. There is no paper option.
Does Connecticut send an Annual Report reminder?
The state sends a reminder to your LLC's email address on file about a month before the filing is due, but it is a courtesy, you still owe the filing on time whether or not you receive it. Keep the business email on your LLC's record current.
